Buying/Selling Professional Practices
Dental practice purchases and sales are unique. Therefore, it is important to ensure the documents are specifically tailored to the needs of the dental professional
addressing matters such as accounts receivables, restrictive covenants, the allocation of the purchase price, post-closing transition services, and the seller's representations and warranties. Robert's goal is to ensure his clients are protected, and he has the legal expertise to identify and address these issues, ordinary as well as unique, and to ensure a smooth practice transition.
Entity Formation
Entity formation is an important part of purchasing a dental practice or starting one from scratch. An entity can help the dentist limit their liability and protect them personally. Robert has years of experience working with dental accountants, the Department of Education, and the Department of State to correctly form entities for dentists in an efficient manner.
Partnerships
In the event a dentist is seeking to become a partner, such formations can become complicated and there is no one-size-fits-all approach. Robert works with dentists in order to ensure a tailored approach to partnerships is achieved through properly drafted operating and shareholder agreements.
Associate Agreements
Employment and independent contractor agreements (i.e. associate agreements) are essential documents that dentists need to understand. Restrictive covenants are an important provision of these agreements. They ensure the protection of the employer, but this protection needs to be balanced against the reasonableness of the restrictions. For an employee, such restrictive covenants can dramatically impact the ability to earn a living upon termination of the agreement. Therefore, it is important to ensure the agreement is reviewed to protect a party's interest. Robert has extensive experience both drafting agreements for the employer and reviewing such agreements for prospective associates. His goal is to always to represent the client, discuss options and ensure the client is well protected into the future.
Leasing
Whether for a start-up or in connection with a dental practice purchase, the dental office lease is a foundational aspect of nearly every dental practice. It is the basis of a relationship with the landlord that will last for years. Each landlord has a unique lease although there are standard clauses. Robert's years of experience working with dental leases allows the dentist to be confident that assignment provisions, exclusivity, relocation (deletion thereof) and other clauses are properly negotiated to ensure the dentist's interests are well represented and protected.
Team Building
Robert's years of experience has introduced him to many professionals who also work either exclusively or extensively with dentists. This includes accountants, bankers, brokers, and dental suppliers. Robert is able to provide referrals to dentists that round out their professional team.

Robert B. Larson, LPN, JD
Since 2011, Robert has exclusively represented dentists, and other healthcare professionals, in all aspects of the law. He assists dentists with buying and selling professional practices, drafting associate agreements (both employment and independent contractor), joint ventures, professional entity formation (PC, PLLC and LLC), lease negotiations, and patient dismissals/discharges/refunds. Through the years, Robert has honed his legal skills working with dental professionals, and he has developed unique tools to assist clients in achieving their goals.
Robert has been a licensed nurse since 1992. Prior to becoming an attorney, he worked in nursing in areas as broad as orthopedic trauma at a Level 4 facility, ICU/CCU, large medical offices with 30+ physicians, medical rehabs, and even in a locked psychiatric unit with patients who were judicially found criminally, mentally insane and deemed unfit to stand trial. During the last few years of his nursing career, he worked as an Alzheimer/dementia educator in central Illinois. His work as a nurse gives him an incredibly unique perspective into the world of healthcare.
Robert graduated from Hamline University School of Law, St. Paul, Minnesota in 2009, and he immediately moved to Nyack, New York with his spouse. He passed the New York bar on his first attempt.
